Reporting to the Corporate Secretary and Associate General Counsel (Canada), you will work closely and collaboratively with legal counsel, fellow paralegals, and legal administrative staff. In this role, you will provide comprehensive support across Board governance, securities and continuous disclosure compliance, and a wide range of corporate matters, helping prepare Board materials, maintain corporate records, support regulatory filings, and contribute to key legal and operational initiatives across the organization.

Key Accountabilities
- Drive Board governance excellence by preparing high quality Board and Committee materials—agendas, charters, resolutions, minutes, and more - while managing distribution through the Diligent Board portal.
- Champion Board operations through end-to-end coordination of annual shareholder, Board, and Committee meetings, and by maintaining director questionnaires, evaluations, and onboarding packages.
- Support critical securities and disclosure functions by assisting with the preparation, review, and filing of regulatory documents across Wdesk, SEDAR Plus, EDGAR Next, SEDI, the NYSE, and TSX.
- Strengthen corporate governance foundations by maintaining corporate records, minute books, organizational charts, and regulatory filings for subsidiaries, partnerships, and registries across jurisdictions.
- Advance corporate transactions and legal workflows by preparing incorporation/amendment documents, conducting corporate searches, supporting due diligence, drafting legal materials, managing files, and liaising with internal and external partners.
- Enable seamless legal operations through accurate billing administration, timely reporting, and proactive contributions that enhance the effectiveness and collaboration of the broader legal team.
What You Bring to the Role
- Accredited training and experience including a Paralegal Diploma (or equivalent) and a minimum of 5 years of paralegal experience in a law firm or sophisticated corporate legal environment; CORES Level II (or higher); considered a strong asset together with excellent keyboarding and administrative skills.
- Technical fluency with Microsoft Office (including Word, Excel and Powerpoint) and Adobe Acrobat, plus experience using tools such as Diligent, Wdesk, SEDAR Plus, EDGAR, SEDI, TMX Linx, or NYSE Listing Manager; familiarity with entity management systems is an advantage.
- Strong corporate law knowledge with a solid command of legal terminology and strong understanding of federal and provincial corporate statutes, procedures, and compliance requirements.
- Exceptional organizational judgment demonstrated through the ability to manage high volume workloads, balance competing priorities, meet tight deadlines, and work independently with minimal supervision.
- Professional communication and collaboration skills with the ability to confidently engage with lawyers, service providers, and internal/external stakeholders.
- Flexibility and reliability with a requirement and ability to work occasional overtime during peak reporting periods and consistently maintain a high level of accuracy, detail, and professionalism.
