Overview We are two founders preparing to launch an online coaching and agency business. Our operations will be fully digital, with U.S. clients as our main audience. Partner Backgrounds Partner 1: Currently abroad, tax residency in Minnesota with an existing S-Corp, relocating to Florida within 12 months Partner 2: Canadian citizen, also abroad, planning to relocate to Florida within the same timeframe and requiring a U.S. visa What We Need - Clear guidance on the best legal and tax structure (LLC, S-Corp, Canadian entity, or otherwise) - Advice on international co-ownership between a U.S. and Canadian partner - Structuring that aligns with Partner 2’s U.S. visa and long-term residency goals - A lean, compliant setup that reduces complexity and optimizes tax outcomes Who We’re Looking For - CPA, EA, or tax attorney with hands-on experience in U.S.–Canada cross-border structuring - Familiar with residency and treaty issues as they relate to small, high-margin online companies - Able to break down complex options into plain, actionable recommendations Engagement - Initial project: Design the optimal business structure from scratch - Potential for long-term advisory as we scale - Open to both hourly and fixed-fee proposals
